The EU Foreign Subsidies Regulation (FSR) entered into force in July 2023 and aims to address distortions caused by subsidies granted by non-EU governments to companies operating within the EU Single Market. Companies involved in M&A transactions or bidding for public contracts in the EU must submit prior notifications to the European Commission if their transactions exceed the relevant notification thresholds. Such transactions may only proceed after receiving FSR clearance.

Additionally, the Commission may initiate ex officio investigations. Since the FSR’s entry into force, notification volumes have significantly exceeded expectations, with several investigations specifically targeting Chinese companies. Compliance costs and risks under the FSR are expected to increase. On 9 January 2026, the Commission officially published its Guidelines on the application of certain provisions of the FSR, aiming to establish a more practicable framework for enforcement of FSR reviews.
